Terms of Use

This Agreement constitutes a public offer (oferta) within the meaning of Georgian civil law and governs the relationship between the Platform and any person using NIVI. By using NIVI, you agree to these Terms.

1. Status of the Platform

1.1. NIVI is exclusively an information intermediary providing a technology platform for posting classified advertisements. NIVI does not act as a party, seller, buyer, or agent in transactions between Users.

1.2. All transactions are concluded directly between Users at their own risk. NIVI is not responsible for the quality, safety, or legality of goods or services, nor for the accuracy of information in listings.

2. Eligibility

2.1. You must be at least 18 years old to register and use NIVI. By registering, you confirm that you meet this requirement.

2.2. NIVI is primarily designed for residents of and persons conducting commercial activity in the Samtskhe-Javakheti region of Georgia.

3. Registration and Security

3.1. Access to your account is via mobile phone number using a one-time password (OTP) delivered by SMS. Entry of the correct OTP constitutes use of a simple electronic signature as defined under the Law of Georgia on Electronic Documents and Electronic Trusted Services, and is equivalent to signing this Agreement.

3.2. You are solely responsible for maintaining access to your registered phone number and for all actions taken through your account.

3.3. One phone number may be associated with one NIVI account only.

3.4. The Platform reserves the right to limit authentication request frequency (rate limiting) to prevent fraud and protect technical resources.

4. Content Rules

4.1 What you may post

Listings must concern real goods or services, honestly priced, in the correct category, relating to activity in or near the Samtskhe-Javakheti region.

4.2 Representations and warranties

By posting a listing, you represent and warrant that:

• All information (text, photos, characteristics, price) is accurate and truthful
• You own or have the legal right to sell the item or offer the service
• The listing does not violate Georgian law or the rights of third parties

4.3 Prohibited content

The following is strictly prohibited on NIVI:

• Illegal goods (narcotics, weapons without valid permits, stolen goods, counterfeit products)
• Spam, duplicate listings, or misleading / bait-and-switch listings
• Fraudulent descriptions or intentionally false price indications
• Adult content, hate speech, or discriminatory content
• Any content that violates applicable Georgian legislation

4.4 Prohibition on automation

Any automated copying of data (web scraping, crawling) using scripts, bots, or other software is prohibited without the Platform's prior written consent.

5. Content Licence

5.1. You retain ownership of the photos and text you post on NIVI.

5.2. By posting content, you grant NIVI a worldwide, royalty-free, non-exclusive licence to store, display, reproduce, and use the content within the NIVI platform and in NIVI's marketing materials.

6. Moderation

6.1. Every listing is reviewed by the Platform's moderation team before publication. Standard review time: up to 24 hours.

6.2. The Platform may reject, edit, hide, or permanently remove listings that violate these Terms. Moderation decisions regarding content are final.

6.3. Accounts that repeatedly or seriously violate these Terms may be permanently blocked without prior notice.

7. Transactions

7.1. NIVI connects buyers and sellers but does not process payments, handle deliveries, or provide guarantees on transactions.

7.2. Users are recommended to:

• Meet in person where possible
• Verify the item before handing over money
• Never send advance payment to a person you do not know personally
• Use receipts or written agreements for significant purchases

7.3. NIVI is not responsible for disputes between buyers and sellers.

8. Paid Services

8.1. The basic marketplace features are free of charge.

8.2. Optional paid services (promoted listings, VIP status, etc.) are priced in the Platform interface. The Platform reserves the right to modify tariffs with at least 14 calendar days' notice.

8.3. Paid services are considered fully rendered upon technical activation. Fees for activated services are non-refundable.

9. Limitation of Liability

9.1. The Platform is provided "as is". The Platform does not guarantee uninterrupted availability due to factors beyond its control, including failures of third-party providers.

9.2. NIVI's aggregate liability to any User under any claim shall not exceed the total amount paid by that User to the Platform in the 30 calendar days immediately preceding the claim.

9.3. NIVI is not liable for any indirect, incidental, or consequential damages arising from use of the Platform.

10. Force Majeure

The Platform is not liable for failure to perform its obligations resulting from circumstances beyond its reasonable control, including but not limited to: natural disasters, war, civil unrest, cyberattacks, government actions, epidemics, or failure of third-party infrastructure (telecommunications, hosting providers, payment systems).

11. Governing Law

11.1. This Agreement is governed exclusively by the law of Georgia.

11.2. Consumer rights granted under Georgian law (including the Law of Georgia on Consumer Rights Protection) are not limited or waived by this Agreement.

12. Dispute Resolution

12.1. All disputes shall first be submitted to good-faith negotiation. Electronic claims must be sent to [email protected] and will receive a substantive response within 30 calendar days.

12.2. If the dispute cannot be resolved by negotiation, it shall be submitted to the exclusive jurisdiction of the courts of Georgia in Akhalkalaki.

13. Modifications

13.1. NIVI may modify these Terms at any time. Material changes will be communicated by SMS or in-app notification at least 14 calendar days before taking effect.

13.2. Continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms.
